| Roles and duties of the Directors. |
- To direct the company both as a strategy and structure.
- To monitor the activities of KMSL.
- To ensure that the company has adequate systems of control both operational and financial.
- To provide information on the activities of the company o those entitles to it.
- To ensure that the best interests of KMSF and KMSL, its members and Motorsport in Kenya are safeguarded.
- To annually appoint independent auditors.
- Act with utmost faith, honesty and integrity in all dealings with or behalf of the company.
- Ensure that they are in a position to make informed decisions.
- Act as signatories of the company.

Motorsport Council
|
| The Board of Directors delegate to the Motorsport Council some of its powers and responsibilities as it may from time to time decide either generally or specifically as laid down in the Articles of Association of Motorsport Kenya and the internal rules and regulations. |
| Their duties, responsibilities and authorities are as follows: |
- To implement Motorsport Kenya Sporting Policy through the Sporting Commissions.
- To resolve disputes within and between Commissions.
- To determine a national Championship calendar for all categories in conjunction with Commission structures and promoters in compliance with KMSF policy.
- To recommend all national championship rules and regulations for approval by the Motorsport Kenya.
- To provide sporting input in the compilation of the Motorsport Kenya NCRs.
- To assist the KMSF Marketing Secretariat with an overall marketing policy.
- To decide upon holding any congresses, seminars or meetings whether they be local or international, and the attendance of Motorsport Kenya delegates subject to ratification by the Board of Directors.
- To decide on applications for membership or affiliation to KMSF of individual clubs, associations and commercial organizations who organize, promote and /or co-ordinate Motorsport events.
- To decide upon the participation of KMSF competition licence holders, officials, members of Commissions, Panels or Committees in any event of a competitive Motorsport nature, seminars and the like either locally or internationally subject to ratification by the Board of Directors.

| General duties of the Commissions |
- To administer and control the formula of Motorsport under its jurisdiction at all levels and on behalf of KMSF.
- To formulate and maintain categories and rules and regulations under which safe, stable, fair and entertaining competition can take place.
- To ensure that all members of the Commission and competitors where necessary, are informed about any directives issued by the KMSF.
- To ensure the proper marketing and exploitation of its various categories in conjunction with category controlling bodies, such as Associations and Clubs, and the marketing Secretariat of Motorsport Kenya.
- To ensure that all competitions and regulations are formatted and run in accordance with National Competition Rules (NCRs), Standing Supplementary Regulations and other Motorsport regulations issued by KMSF and the FIA and FIM.
- To advise the KMSF of any amendments required to technical or sporting rules and regulations. KMSF will issue these amendments if they are in compliance with KMSF policy.
- To take any dispute within or between Commissions, to the Motorsport Council for resolution. Where a Commission and the Council cannot reach an agreement, the matter shall be referred to the Board of Directors.
- To make such recommendations for the consideration by the KMSF BOD as the Sporting Commission deems desirable in the interests of Motorsport generally and in the interests of the particular motor sporting activity for which they are responsible.
- To ensure that they make informed decisions.
